Terms of Service

Geographic Availability: ClassHub / クラスハブ is available to organizations in Japan, North
America, and select Asia-Pacific regions. This service is not available to organizations or users located in
the European Economic Area (EEA) or United Kingdom.
Important Note: Business-to-Business Service
ClassHub is a business-to-business (B2B) service for schools, tutoring centers, training studios,
and independent teaching and instructing businesses. We do not directly collect information
from students or end-users. All student data entered into the system is provided by our customers
(business owners and administrators) who are responsible for:
- Obtaining appropriate consent from their students and parents/guardians
- Complying with applicable privacy laws in their relationship with their students
- Ensuring they have the legal right to input student information into our system
As the data processor, we process student information only on behalf of and according to the instructions
of our customers (the data controllers). Our customers retain full responsibility for the lawfulness of
the data they input into our system.
1. Acceptance of Terms
Welcome to ClassHub / クラスハブ ("ClassHub," "we," "us," or "our"). By accessing or using our scheduling and
student management software available at https://kurasu.app (the
"Service"), you agree to be bound by these Terms of Service ("Terms").
If you are using the Service on behalf of an organization (such as a school or educational institution), you
represent that you have the authority to bind that organization to these Terms, and "you" refers to both you
individually and the organization.
If you do not agree to these Terms, do not use the Service.
2. Eligibility and Geographic Restrictions
2.1 Eligible Users
The Service is intended for use by:
- Schools, tutoring centers, training studios, and independent teaching and instructing businesses
- School administrators, owners, and authorized staff members
- Organizations located in Japan, North America, and select Asia-Pacific regions
2.2 Geographic Restrictions
This Service is not available to organizations or users:
- Located in the European Economic Area (EEA)
- Located in the United Kingdom
- Operating from the EEA or UK
- Primarily serving customers in the EEA or UK
By using the Service, you represent and warrant that you meet these eligibility requirements and are not
located in, operating from, or primarily serving customers in the EEA or UK.
2.3 Age Requirement
You must be at least 18 years old to create an account and use the Service. The Service is a
business-to-business (B2B) platform and is not intended for direct use by minors.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information, including:
- Organization name
- Contact name and email address
- Billing Information (after free trial)
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring that all staff members with access to your account comply with these Terms
Important: We do not have access to your password. If you lose access to both your password
and registered email address, we may be unable to restore access to your account, or there may be
significant delays in the recovery process.
3.3 Account Information
You agree to provide accurate, current, and complete information and to update this information as necessary
to keep it accurate, current, and complete.
4. Free Trial
4.1 Trial Period
We offer the following free trial periods:
- Instructor Plan: 14 days
- Studio Plan: 30 days
- Network Plan: 30 days
4.2 Trial Limitations
During the trial period, you have access to all features of your selected plan. We reserve the right to limit
trial access in cases of suspected abuse.
4.3 After Trial Ends
When your trial period ends:
- Your account will be suspended until you subscribe to a paid plan
- Your data will be retained for 30 days to allow you to subscribe
- If you do not subscribe within 30 days, your data will be permanently deleted
5. Subscription Plans and Payment
5.1 Plan Selection
After your free trial, you may choose from the following subscription plans:
- Instructor: ¥4,900/month or ¥49,000/year
- Studio: ¥9,900/month or ¥99,000/year
- Network: ¥19,800/month or ¥198,000/year
5.2 Billing Cycle
Monthly Plans:
- Invoices are issued at the beginning of each month for the following month's service
- For example, you will receive an October invoice (due October 31) that covers your November service
- Payment is due by the last day of the current month
- Mid-month starts are prorated automatically
Annual Plans:
- Payment is due in full at the start of your annual subscription
- We will send an invoice 30 days before the end of your annual period for renewal
5.3 Payment Methods
We accept the following payment methods:
5.4 Subscription Renewal
Unless you submit a cancellation or non-renewal request according to the deadlines in Section 6.1, your
subscription will continue and we will send you an invoice at the beginning of each billing period.
5.5 Price Changes
We reserve the right to change our pricing. If we change the price of your subscription plan, we will provide
at least 30 days' notice before the change takes effect. The new price will apply to your next billing cycle
after the notice period.
Price changes do not affect amounts already paid. For annual subscriptions, the original price remains in
effect
for the entire prepaid period.
5.6 Late Payment
If an invoice is not paid by the due date:
- We will send reminder emails at 7 days and 14 days overdue
- After 21 days overdue: Your account will be suspended
- Suspended accounts retain all data and can be restored immediately upon payment
- After 30 days of suspension, we may terminate the agreement and permanently delete your
data after sending final written notice
Total grace period: 51 days from original due date before data deletion.
6. Cancellation and Refunds
6.1 Cancellation & Non-Renewal Rule
(Applies to all plans and all payment methods)
To cancel or stop auto-renewal, please email us at support@kurasu.app.
- Monthly Plans
Upon receiving your cancellation request, the subscription will continue until the end of the
following calendar month.
Accordingly, you will be invoiced for one additional month and will retain full access to the Service
throughout that period.
Example: Cancellation request submitted any day in March → final billing month is April →
access ends 30 April
- Annual Plans
Annual plans cannot be cancelled or refunded mid-term.
To prevent automatic renewal for the next year, submit your non-renewal request by the last
calendar day of the month before your contract renews.
The plan will then end on the original contract end date.
Example: (1 Apr 2026 – 31 Mar 2027): Request non-renewal by 28 Feb 2027 → no charge from 1 Apr
2027 onward
6.2 Refunds
No refunds, partial refunds, or pro-rated credits are provided under any circumstances.
• Monthly plans: No refund for the current or final paid month
• Annual plans: Fully non-refundable once the annual term has started
6.3 Service Credits and Exceptional Refunds
We aim for 99.9%+ monthly availability. In the unlikely event of extended downtime caused by us, the
following applies automatically:
- Outages of 24 hours or more (up to 29 consecutive days)
If the Service is completely inaccessible for 24 consecutive hours or longer due to our
fault, we will automatically issue a service credit equal to the pro-rated fees for the affected period
(monthly → next invoice credit; annual → free extension of subscription).
- Catastrophic outage (30+ consecutive days)
If the Service remains completely inaccessible for 30 or more consecutive days due to our fault, you may
request immediate termination of your plan and receive a pro-rated cash refund.
- Permanent discontinuation
If we shut down ClassHub permanently, we will refund any unused pre-paid annual fees on a daily basis.
How we determine downtime and eligibility
We measure downtime in good faith using our internal monitoring tools and system logs.
Downtime does not include and will not qualify for credits or refunds if caused by:
• Scheduled maintenance announced ≥48 hours in advance
• Emergency maintenance or security actions
• Force majeure events (natural disasters, war, government orders, etc.)
• Issues with your network, device, ISP, or internet connection
• Your misuse or breach of the Terms of Service
• Outages of third-party services you connect (Video conferencing, external storage, etc.)
We will notify affected customers by email if downtime qualifies under this section.
6.4 Data After Cancellation / Non-Renewal
Your account will be deactivated on the effective cancellation date (end of the final paid month or annual
term).
- We will retain your data for 30 calendar days from the deactivation date in case you
wish to reactivate
- You may export your data at any time while your account is still active
- After those 30 days, all data will be permanently and irretrievably deleted
7. Data Ownership and Usage
7.1 Your Data
You retain all rights to the data you input into the Service, including:
- Student information
- Teacher information
- Course and schedule data
- Any other content you create or upload
7.2 License to ClassHub
By using the Service, you grant us a limited, non-exclusive license to host, store, process, and display your
data solely for the purpose of providing the Service to you. This license ends when you delete your data or
terminate your account.
7.3 Your Responsibilities
You are solely responsible for:
- The accuracy and legality of all data you input into the Service
- Obtaining all necessary consents and permissions to input student data
- Complying with applicable privacy and data protection laws
- Ensuring you have the legal right to use and share all data you input
7.4 Data Backup
While we perform regular backups of the Service, you are responsible for maintaining your own backup copies
of important data. We recommend using our export tools regularly to maintain local copies of your data.
Important: Any data you manually delete is permanently and irretrievably removed from our
systems
and backups. We cannot recover user-deleted data under any circumstances.
7.5 Data Breach Notification
Our data breach notification procedures are detailed in our Privacy Policy. In the
event of a breach affecting your data, we will notify you promptly as described in the
Privacy Policy, but you remain responsible for notifying your students and complying with
applicable breach notification laws in your jurisdiction.
8. User Responsibilities and Acceptable Use
8.1 Account Usage
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible
for all activity under your account, including the actions of any teachers, staff, or other users you
authorize to access your account.
8.2 Prohibited Activities
You agree NOT to:
- Share your login credentials with unauthorized persons
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to hack, reverse engineer, decompile, or disassemble the Service
- Use automated tools (bots, scrapers) to access the Service excessively or without permission
- Resell, redistribute, or provide unauthorized access to the Service
- Upload viruses, malware, or other malicious code
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Service to send spam or unsolicited communications
- Violate the intellectual property rights of ClassHub or others
- Impersonate another person or organization
- Collect or harvest personal information about other users
8.3 Content Standards
You agree that all data and content you input into the Service will:
- Be accurate and not misleading
- Not violate any applicable laws or regulations
- Not infringe on the rights of others
- Not contain offensive, inappropriate, or harmful content
9. Intellectual Property Rights
9.1 ClassHub's Rights
The Service, including all software, code, designs, logos, trademarks, and content (excluding your data), is
owned by ClassHub and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance
with these Terms. This license does not grant you any rights to:
- Copy, modify, or create derivative works of the Service
- Sell, lease, or sublicense the Service
- Use our trademarks or branding without permission
9.2 Your Rights
As stated in Section 7, you retain all rights to your data. Nothing in these Terms transfers ownership of
your data to ClassHub.
9.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use this
feedback without any obligation to compensate you.
10. Service Availability and Modifications
10.1 Service Availability
We strive to provide reliable and consistent service, but we do not guarantee that:
- The Service will be uninterrupted or error-free
- The Service will be available at all times
- All errors or defects will be corrected
The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
10.2 Maintenance
We may perform scheduled or emergency maintenance on the Service. When possible, we will provide advance
notice of scheduled maintenance that may cause service interruptions.
10.3 Service Modifications
We reserve the right to:
- Modify, update, or discontinue any features of the Service
- Add new features or functionality
- Change the technical specifications of the Service
We will make reasonable efforts to notify you of significant changes that materially affect your use of the
Service.
11. Disclaimers and Limitation of Liability
11.1 "As-Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
You use the Service at your own risk. We do not warrant that the Service will meet your specific requirements
or that it will be suitable for your particular purpose.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLASSHUB SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- BUSINESS INTERRUPTION
- LOSS OF DATA OR CORRUPTION OF DATA
- COST OF SUBSTITUTE SERVICES
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE
AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
B2B Service Limitation: You acknowledge that ClassHub is a business tool
and that any service interruption may affect your ability to serve your students. However,
you remain solely responsible for your relationship with your students, and we are not
liable for any claims, damages, or losses arising from your student or parent relationships,
including but not limited to lost tuition revenue, student complaints, reputational harm,
or breach of your contracts with students.
11.3 Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such
cases, our liability will be limited to the greatest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless ClassHub and its officers, directors, employees, and agents
from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable
attorneys' fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights, including intellectual property rights or privacy rights
- Any data or content you input into the Service
- The actions of your teachers, staff, or other authorized users
13. Termination
13.1 Termination by You
You may terminate your subscription at any time in accordance with Section 6 (Cancellation and Refunds).
13.2 Termination or Suspension by Us
We may suspend or terminate your account and access to the Service in the following cases:
- Non-payment
As described in Section 5.6 (Late Payment and Account Suspension)
- Violation of these Terms
We may immediately suspend or terminate if you materially breach these Terms (including repeated or
serious violations)
- Illegal activity or fraud
Immediate termination without notice if we reasonably believe you are engaged in illegal activity,
fraud, or activity that poses a security risk to the Service or other users
- Required by law
Immediate termination if required by applicable law, regulation, or court order
- At our discretion
We may terminate your account with 30 days’ prior written notice for any reason or no
reason
13.3 Effect of Termination
- Your access to the Service ends on the effective date of termination
- You will not be charged for any period after the termination date (outstanding amounts remain due)
- Your data will be handled exactly as described in Section 6.3 (30-day retention after deactivation, then
permanent deletion)
- Provisions that by their nature should survive (including payment obligations, confidentiality,
liability limitations, and dispute resolution) will continue to apply
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its
conflict of law principles.
14.2 Jurisdiction
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive
jurisdiction of the courts of Japan.
14.3 Informal Resolution
Before filing any formal claim, you agree to first contact us at support@kurasu.app
to attempt to resolve the dispute informally.
15. Changes to These Terms
15.1 Right to Modify
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website with a new "Last Updated" date
- Sending an email notification to the address associated with your account
- Displaying a prominent notice within the Service
15.2 Acceptance of Changes
Your continued use of the Service after we publish or send notice of changes to these Terms constitutes your
acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service
and may cancel your account as described in Section 6.
15.3 Notice Period
For material changes that adversely affect your rights, we will provide at least 30 days' notice before the
changes take effect.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClassHub
regarding the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will
continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or
provision.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign
these Terms without restriction.
16.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you
and ClassHub.
16.6 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable
control, including natural disasters, acts of war, terrorism, labor disputes, or failures of internet
service providers.
